Before the "Distributor Agreement" is formally concluded, unless Modern Water and the applicant enter into a new agreement in writing, any dispute between Modern Water and the applicant due to this distributor recruitment announcement, distributor recruitment activities or related to this distributor recruitment announcement and distributor recruitment activities shall be submitted to the China International Economic and Trade Arbitration Commission ("CIETAC") for arbitration in Shanghai in accordance with the CIETAC Arbitration Rules in force at the time of application for arbitration. The arbitration award is final and binding on both Modern Water and the applicant. The applicant shall be deemed to have agreed to this arbitration agreement if it participates in the distributor recruitment activities based on this distributor recruitment announcement.
